About the Role
Sara International Pvt. Ltd. (Sara Group) is looking for an Assistant Company Secretary to join its Legal & Secretarial team at our Noida head office. In this role you will support the group’s corporate governance, statutory compliance, and board administration, working closely with the Board, senior management, and regulatory authorities. Noida-based candidates are preferred.
Key Responsibilities
- Ensure compliance with the Companies Act, 2013, SEBI regulations, and other corporate laws applicable to the company.
- Convene and manage Board Meetings, Committee Meetings, and General Meetings — including the preparation of agendas, notices, and minutes.
- Ensure timely filing of statutory returns and forms with the Registrar of Companies (ROC) and the Ministry of Corporate Affairs (MCA).
- Maintain statutory registers, records, and documents as required under corporate law.
- Draft resolutions, agreements, and other corporate/legal documentation.
- Coordinate with auditors, legal counsel, and regulatory authorities as required.
- Ensure compliance with FEMA and RBI regulations for any foreign investment or transactions, wherever applicable.
- Support the organization in due diligence, mergers, restructuring, and other corporate actions as and when required.
Desired Candidate Profile
- Qualified Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India (ICSI).
- An LLB qualification will be an added advantage.
- 2–5 years of relevant post-qualification experience, preferably in a manufacturing, trading, or corporate environment.
- Strong knowledge of the Companies Act, SEBI Regulations, FEMA, and other applicable corporate laws.
- Excellent drafting, communication, and interpersonal skills.
- Ability to work independently and liaise effectively with the Board, senior management, and regulatory bodies.
- Immediate joiners will be given preference.
- Freshers with sound knowledge of the relevant subject matter are also encouraged to apply.
